Terms of service
1. Agreement to these terms
These Terms of Service ("Terms") govern access to and use of Tenement Track (the "Service"), operated by PT Next Step Projects, trading as Tenement Track (NPWP 65.745.459.1-905.000) ("Tenement Track", "we", "us"), an Indonesian company. By creating an account or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the entity you represent ("you", "your"). If you don't agree, don't use the Service.
2. What the Service is — and isn't
Tenement Track is a compliance workflow tool for ASX-listed exploration entities. It helps you maintain a tenement register, track expenditure against commitments, and prepare quarterly ASX reporting content. Specifically:
- Activities report and JORC Table 1 disclosure: the Service can generate a finished document intended for direct lodgement via ASX Online's PDF announcement facility.
- Appendix 5B: ASX Online requires this to be manually re-keyed into ASX's own online form — there is no PDF-upload path. The Service therefore produces (a) a re-keying sheet ordered to match ASX Online's form fields, to speed up accurate manual entry, and (b) a separate internal PDF record for your own audit file. It is not a lodgement-ready Appendix 5B, and you are responsible for re-keying it into ASX Online yourself.
- JORC and geological content: the Service lets you store and organise Competent Person reports and technical data. It does not author, generate, or verify geological or technical disclosure content, and nothing in the Service substitutes for sign-off by a qualified Competent Person as required under the JORC Code.
You — not Tenement Track — are responsible for reviewing all output for accuracy before filing anything with ASX, and for your entity's ultimate compliance with ASX Listing Rules and the JORC Code. Tenement Track is a preparation tool, not a filing agent, and does not submit anything to ASX on your behalf.
3. Eligibility and accounts
You must be authorised to act on behalf of the entity or entities you register (e.g. a company secretary, finance manager, director, or an advisor engaged by the entity). You're responsible for the accuracy of information you enter and for safeguarding your login credentials — notify us immediately at support@tenementtrack.com if you suspect unauthorised account access.
4. Subscription plans and billing
Plans. Tenement Track is billed monthly in USD across three tiers: Starter ($39/month, 1 entity), Growth ($69/month, up to 3 entities), and Portfolio ($99/month, up to 10 entities, plus $9/month for each additional entity beyond 10, uncapped). Plans and pricing may change with notice under Section 11.
Peak-usage billing. Each billing period is charged based on the highest number of entities active on your account at any point during that period — not the count at the start or end of the period. Removing an entity mid-period does not reduce that period's charge. Your invoice may include a separate "usage adjustment" line reconciling a prior period's peak against what was originally billed.
Free trial. New accounts get a 14-day free trial. Entity count is tracked throughout the trial the same way as a normal billing period. We'll send a price preview 3 days before your trial ends, based on your peak entity count to date; your actual first charge is calculated from your full 14-day peak, which may be higher if you add entities in the final days of the trial.
No proration. Each billing period is calculated fresh; we don't prorate mid-period plan or entity changes.
Payment. Billing is processed by Stripe. You authorise us to charge your payment method on file for each billing period's amount, including any usage adjustment.
5. Cancellation and refunds
You can cancel anytime from your account settings; cancellation takes effect at the end of your current billing period, and you'll retain access until then. We don't offer refunds for partial billing periods, except where required by Australian Consumer Law or at our discretion.
6. Your data and content
You retain ownership of the tenement, expenditure, report, and file data you upload to the Service ("Your Content"). You grant us a licence to host, process, and display Your Content solely to provide the Service to you. We don't claim ownership of it, and we don't use it to train third-party models or share it outside the providers listed in our Privacy Policy.
You're responsible for having the right to upload any files you attach (e.g. third-party Competent Person reports) and for their accuracy.
7. Acceptable use
You agree not to: use the Service for any entity you're not authorised to act for; attempt to access another customer's data; reverse-engineer or scrape the Service; upload unlawful content; or interfere with the Service's operation or security.
8. Third-party services
The Service relies on third-party infrastructure (Cloudflare, Supabase, Stripe, Resend) as described in our Privacy Policy. We're not responsible for outages or failures caused solely by these providers, though we'll work to minimise impact and keep you informed of material disruptions.
9. Disclaimers
The Service is provided "as is." To the maximum extent permitted by law:
- We don't guarantee the Service will be uninterrupted, error-free, or that any report or document it generates will be accepted by ASX or satisfy ASX Listing Rules or the JORC Code — those are ultimately your entity's responsibility, exercised through your own qualified personnel (including your Competent Person for technical content).
- Tenement Track is not a substitute for legal, financial, or geological advice, and nothing in the Service constitutes such advice.
Nothing in this section limits any consumer guarantee that can't lawfully be excluded under the Australian Consumer Law.
10. Limitation of liability
To the maximum extent permitted by law, Tenement Track's total liability arising from or related to the Service is limited to the amount you paid us in the 12 months before the claim arose. We're not liable for indirect, consequential, or special damages, including lost profits or regulatory penalties, arising from your use of the Service — including reliance on output that was not independently reviewed before filing.
11. Changes to the Service and these Terms
We may update the Service and these Terms as it evolves. We'll give reasonable notice of material changes (e.g. by email or in-app notice) before they take effect. Continued use after changes take effect means you accept the updated Terms.
12. Termination
We may suspend or terminate your account for breach of these Terms, non-payment, or unlawful use, with notice where practicable. You can close your account at any time as described in Section 5.
13. Governing law
Although Tenement Track is operated by PT Next Step Projects, an Indonesian company, these Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of its courts — a deliberate choice, made to match the jurisdiction our customers operate in.
